New Delhi: Jagsonpal Pharmaceuticals Ltd. (Jagsonpal) today announced the execution of a Business Transfer Agreement (“BTA”) with Group Pharmaceuticals Limited (“Group Pharma”) for the acquisition of its Wellness Portfolio on a going-concern basis by way of slump sale. The transaction involves Initial consideration of ₹23.7 crores on closing. Additional consideration linked to FY 2027-28 sales of upto ₹23.0 Crores, subject to a total consideration cap of ₹46.7 Crores. The transaction is expected to be completed on or before 01 November, 2026, subject to fulfilment of the conditions precedent and other terms and conditions stipulated under the BTA.
This business brings in an established portfolio of products and an existing market presence, which we intend to integrate with its existing commercial platform and capabilities while leveraging its existing distribution network to create operating synergies.

The transaction is subject to the fulfilment of applicable conditions precedent and other customary closing conditions as set out in the BTA.
